These Terms & Conditions govern your access to and use of the Sala Graphics, Inc. website, online store, products and related services. Throughout these Terms, “Sala Graphics,” “we,” “us” and “our” refer to Sala Graphics, Inc. “Customer,” “you” and “your” refer to any visitor, purchaser or user of our website, products or services.

By accessing our website, creating an account, submitting artwork, approving a design, placing an order or purchasing a product, you agree to these Terms & Conditions. If you do not agree to these Terms, you should not use our website or services.

1. Website and Services

Sala Graphics provides signs, labels, decals, posters, banners, custom graphics and related products and services. We may update, modify, suspend or discontinue any part of the website, product offering or service at any time, subject to applicable law.

We make reasonable efforts to keep website information accurate and current. However, product descriptions, images, colors, dimensions, availability, pricing and other website content may occasionally contain errors or require updates.

2. Customer Accounts

You are responsible for maintaining the confidentiality of your account credentials and for activity occurring through your account. Please notify us promptly if you believe your account has been accessed or used without authorization.

You agree to provide accurate, current and complete information when creating an account, placing an order or contacting us.

3. Products, Pricing and Availability

Product prices and availability are subject to change without notice. We reserve the right to correct pricing, description, typographical or availability errors and to cancel or modify an affected order. If we cancel an order after payment has been collected, we will refund the applicable amount.

Product images are provided for general representation. Colors and appearance may vary depending on screen settings, production methods, materials and normal manufacturing tolerances.

We may limit quantities, refuse an order or cancel an order when reasonably necessary, including in cases involving suspected fraud, pricing errors, product availability, prohibited content or misuse of our services.

4. Orders and Order Acceptance

Submitting an order does not guarantee acceptance. An order is accepted when we confirm it for production or shipment.

Customers are responsible for reviewing product selections, sizes, materials, colors, wording, spelling, quantities, shipping information and other order details before submitting an order.

Changes or cancellations may not be possible once production has begun. Custom, personalized or made-to-order products may enter production shortly after an order or design approval is received.

5. Custom Designs and Approvals

Custom designs, proofs, drafts, concepts, layouts, production files, templates and related creative work prepared by Sala Graphics remain the property of Sala Graphics until the applicable design or order has been approved and purchased, unless otherwise agreed in writing.

Customer approval confirms that the customer has reviewed and accepted the design, including its wording, spelling, layout, colors, dimensions and other specifications. Sala Graphics is not responsible for errors approved by the customer.

After approval and payment, the customer may use the finished custom product for its intended purpose. Unless expressly transferred in writing, Sala Graphics retains ownership of its underlying production methods, reusable templates, design systems, working files and pre-existing intellectual property.

We may decline requests involving unlawful, infringing, deceptive, threatening, hateful or otherwise objectionable content.

6. Customer-Submitted Artwork, Logos and Content

By submitting artwork, logos, trademarks, photographs, text or other materials, you represent and warrant that:

• You own the submitted materials or have permission to use and reproduce them
• The requested use does not violate another party’s copyright, trademark, privacy, publicity or other rights
• The submitted information and instructions are accurate
• Sala Graphics may reproduce, modify and use the materials as reasonably necessary to prepare proofs, manufacture the order and provide the requested services

You remain responsible for obtaining all permissions, licenses and approvals required for customer-submitted materials. Sala Graphics may refuse or cancel work when ownership or authorization is unclear.

To the extent permitted by law, you agree to be responsible for claims, losses, costs or expenses arising from materials or instructions you provide that infringe or violate another party’s rights.

7. Sala Graphics Intellectual Property

The Sala Graphics website and its content, including product designs, photographs, illustrations, graphics, text, product descriptions, layouts, logos, trademarks, downloadable materials and other creative content, are owned by or licensed to Sala Graphics and are protected by applicable intellectual-property laws.

You may not copy, reproduce, republish, distribute, sell, modify, scrape or commercially exploit our website content or product designs without prior written permission.

Purchasing a physical product does not transfer ownership of Sala Graphics’ website content, source artwork, templates or other intellectual property except as expressly stated in writing.

8. Safety, Warning and Regulatory Products

Sala Graphics offers signs, labels, decals and other products that may be used to communicate safety information, warnings, instructions, restrictions, hazards, emergency information or regulatory notices. These products are intended to assist customers with communication and identification. They are not a substitute for a complete safety, compliance, training, inspection or risk-management program.

Laws, codes, standards and agency requirements vary by jurisdiction, industry, facility, hazard, application and date. Requirements may include federal, state, county, municipal, workplace, building, fire, accessibility, transportation, environmental, industry-specific or property-specific rules.

Unless expressly stated in writing for a specific product and application, Sala Graphics does not represent or warrant that a product complies with every applicable law, code, regulation or standard, including requirements issued or enforced by OSHA or any other governmental, regulatory, standards-setting or industry organization.

Product descriptions or references to commonly used safety formats, standards or agencies do not constitute legal, engineering, safety or compliance advice and do not guarantee approval by an inspector, agency, employer, property owner or other authority.

9. Customer Compliance Responsibilities

The customer is solely responsible for determining whether a product is appropriate and sufficient for the customer’s intended use.

Before ordering, installing or relying upon a product, the customer must determine and verify:

• The wording, language and symbols required
• The appropriate sign or label size
• Required colors, headers and signal words
• Material, durability and environmental requirements
• Mounting method and placement
• Visibility, viewing distance and quantity
• Accessibility and language requirements
• Inspection, maintenance and replacement requirements
• All applicable laws, codes, regulations, standards and agency requirements

The customer is responsible for consulting the appropriate authority having jurisdiction, inspector, safety professional, legal professional, engineer or other qualified adviser when requirements are uncertain.

Employers, facility operators, property owners and other responsible parties remain responsible for workplace safety, employee training, hazard correction, regulatory compliance and any other duties imposed by law. Purchasing or installing a sign, label or decal does not transfer those responsibilities to Sala Graphics.

10. Product Installation, Maintenance and Use

Customers are responsible for proper product handling, installation, placement, use, inspection, cleaning, maintenance and replacement.

Environmental exposure, surface preparation, installation methods, chemicals, weather, sunlight, abrasion and other conditions can affect product life and performance. Customers should inspect products regularly and replace any item that becomes damaged, obscured, outdated, illegible or otherwise unsuitable for its intended purpose.

Sala Graphics is not responsible for loss, damage, injury, citation, violation or other consequence caused by improper selection, wording, installation, placement, use, maintenance or replacement of a product, to the fullest extent permitted by law.

11. Shipping and Delivery

Our Free Shipping & Delivery Information page is incorporated into these Terms by reference.

Free standard shipping is available on nearly every product, with limited exceptions. Expedited shipping may be available for an additional charge.

Processing and delivery dates are estimates unless expressly guaranteed in writing. Sala Graphics is not responsible for delays caused by carriers, weather, supply interruptions, incorrect addresses, governmental actions or other circumstances outside our reasonable control.

Customers are responsible for providing complete and accurate delivery information.

12. Returns and Refunds

Our Return Policy is incorporated into these Terms by reference.

Eligible products may be returned within 30 days of delivery when they are unused and in their original condition. Customers must contact Sala Graphics before sending a product back.

Customers are responsible for return shipping when an eligible product is returned because it is no longer wanted or needed. Original and expedited shipping charges are nonrefundable. We do not charge a restocking fee on eligible returns.

Custom-made, personalized and specially produced products are not returnable unless they arrive damaged, defective or different from the approved order specifications.

If an order arrives damaged, defective or incorrect, customers should contact us as soon as possible and retain the product and packaging until instructions are provided.

13. Privacy

Our collection, use and disclosure of personal information are governed by our Privacy Policy, which is incorporated into these Terms by reference.

14. Third-Party Services and Links

Our website may use or link to third-party services, including Shopify, payment processors, shipping providers, review platforms, analytics providers, advertising services and social-media platforms.

Third-party services are governed by their own terms and privacy policies. Sala Graphics does not control and is not responsible for third-party websites, services, content, availability or security.

15. Disclaimer of Warranties

To the fullest extent permitted by law, the website, its content and our services are provided on an “as available” basis except for any express product warranty provided in writing.

We do not warrant that the website will always be uninterrupted, error-free or secure or that all website information will always be complete and current.

Nothing in these Terms excludes any warranty, right or remedy that cannot legally be excluded.

16. Limitation of Liability

To the fullest extent permitted by law, Sala Graphics and its owners, officers, employees, contractors and service providers will not be liable for indirect, incidental, special, exemplary, punitive or consequential damages, including lost profits, lost business, lost data or loss of goodwill, arising from the website, services, products or these Terms.

To the fullest extent permitted by law, Sala Graphics is not responsible for accidents, injuries, violations, citations, failed inspections, property damage or other losses resulting from:

• A customer’s product selection or specifications
• Customer-provided wording, artwork or instructions
• Improper installation, placement, use or maintenance
• Failure to verify applicable laws, codes, standards or agency requirements
• Reliance on a product as a substitute for required safety measures, training, procedures or professional advice

Where liability cannot be excluded, Sala Graphics’ total liability related to a product or order will not exceed the amount paid to Sala Graphics for the product or order giving rise to the claim, except where a different limitation is required by law.

Some jurisdictions do not permit certain limitations of liability. In those jurisdictions, these limitations apply only to the extent permitted by law.

17. Indemnification

To the extent permitted by law, you agree to defend, indemnify and hold harmless Sala Graphics and its owners, officers, employees, contractors and service providers from third-party claims, damages, liabilities, costs and reasonable legal fees arising from:

• Your breach of these Terms
• Materials, artwork, logos, wording or instructions you submit
• Your infringement or violation of another party’s rights
• Your unlawful or improper use of our website, services or products
• Your failure to comply with applicable laws, codes, standards or regulatory requirements
• Your installation, placement, maintenance or use of a product

This section does not require you to indemnify Sala Graphics for conduct for which indemnification is prohibited by law.

18. Copyright and Intellectual-Property Complaints

• Identification of the protected work or right
• Identification and location of the material in question

Subject to applicable law, any legal proceeding arising from these Terms, the website, our services or our products shall be brought in the state or federal courts serving Seminole County, Florida.

Nothing in this section limits rights that cannot legally be waived under applicable consumer-protection law.

21. Severability

If any provision of these Terms is found invalid, illegal or unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in effect.

22. No Waiver

Our failure to enforce any provision of these Terms does not waive our right to enforce that provision or any other provision later.

We may update these Terms periodically to reflect changes to our products, services, business practices or legal obligations. The revised Terms will be posted on this website with an updated revision date.

Continued use of the website after revised Terms are posted constitutes acceptance of the updated Terms to the extent permitted by law.
